Please read these Terms of Service carefully before using ChannelStack. By accessing or using our service, you agree to be bound by these terms. If you do not agree to these terms, do not use ChannelStack.

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and ChannelStack ("we," "us," or "our"), governing your access to and use of the ChannelStack platform, including our website at channelstack.net, our community at skool.com/channelstack, and all related tools, automation systems, and services (collectively, the "Service").

By creating an account, subscribing to ChannelStack, or using any part of the Service, you confirm that you are at least 18 years of age, have the legal capacity to enter into this agreement, and agree to be bound by these Terms and our Privacy Policy.

ChannelStack is a multi-creator content automation platform that enables users to:

ChannelStack uses third-party APIs including the TikTok Content Posting API and YouTube Data API to deliver these services. Your use of the Service is subject to the applicable terms and policies of those third-party platforms in addition to these Terms.

3. Accounts and Eligibility

3.1 Account Registration

To use ChannelStack, you must create an account via our Skool community platform. You agree to provide accurate, current, and complete information during registration and to keep your account information updated.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at matt@channelstack.net if you suspect any unauthorized access to your account.

3.3 One Account Per User

Each subscription is for a single user. You may not share your account credentials or allow others to access the Service using your account. Enterprise or team arrangements require separate agreements.

3.4 Platform Account Requirements

To use ChannelStack's automation features, you must independently own and maintain valid TikTok and/or YouTube creator accounts in good standing. ChannelStack is not responsible for actions taken by TikTok or YouTube with respect to your accounts, including suspension, termination, or demonetization.

4. Subscription and Payment

4.1 Subscription Plans

ChannelStack offers monthly subscription plans as described on our website. All fees are stated in U.S. dollars and are billed through our Skool community platform.

4.2 Billing

Subscriptions are billed monthly on a recurring basis. By providing your payment information, you authorize us (via Skool) to charge you the applicable subscription fee on a recurring monthly basis until you cancel.

4.3 Founding Member Rate

Founding Members who subscribe at the founding rate lock in that rate for as long as their subscription remains active and in good standing. The founding rate applies only to the subscription tier in effect at the time of founding membership and does not carry over to future higher-tier products.

4.4 Cancellation

You may cancel your subscription at any time through your Skool account settings. Cancellation takes effect at the end of your current billing period. No partial refunds are issued for unused portions of a subscription period.

4.5 Refund Policy

All subscription fees are non-refundable except where required by applicable law. If you believe a charge was made in error, contact us at matt@channelstack.net within 14 days of the charge.

4.6 Price Changes

We reserve the right to change subscription pricing with at least 30 days' prior written notice. Founding Members are exempt from price increases as described in Section 4.3 above.

5. Acceptable Use Policy

5.1 Permitted Uses

You may use ChannelStack solely for legitimate content creation and automation purposes on your own creator accounts, in compliance with these Terms and all applicable platform policies and laws.

You are solely responsible for all content published through ChannelStack on your accounts. ChannelStack provides tools to automate publishing, but you retain full responsibility for ensuring that all content complies with applicable laws, platform policies, and community guidelines.

ChannelStack integrates with TikTok's Content Posting API. By connecting your TikTok account to ChannelStack, you acknowledge and agree to the following:

7.1 ChannelStack IP

All intellectual property in the ChannelStack platform, including but not limited to software, systems, automation workflows, documentation, templates, branding, and website content, is owned by or licensed to ChannelStack. These Terms do not grant you any rights to our intellectual property except as necessary to use the Service as permitted herein.

7.2 Your Content

You retain all rights to the content you create and publish through ChannelStack. By using the Service, you grant ChannelStack a limited, non-exclusive, royalty-free license to process, store, and transmit your content solely as necessary to provide the Service. We do not claim ownership of your content and will not use it for any purpose beyond operating the Service.

7.3 AI-Generated Content

ChannelStack may use AI tools (including OpenAI and Anthropic APIs) to generate video scripts and other content on your behalf. You acknowledge that AI-generated content may not be eligible for copyright protection in all jurisdictions and agree that you are responsible for reviewing and taking responsibility for AI-generated content before it is published under your account.

7.4 Feedback

If you submit ideas, suggestions, or feedback about ChannelStack, you grant us an unrestricted, irrevocable, perpetual license to use and incorporate such feedback into the Service without compensation to you.

8. Third-Party Services and Links

ChannelStack integrates with and links to third-party services including TikTok, YouTube, GitHub, OpenAI, Anthropic, Pexels, and Skool. These third-party services are governed by their own terms of service and privacy policies, which you are responsible for reviewing and accepting.

ChannelStack is not responsible for the availability, accuracy, content, or practices of any third-party services. Any issues with third-party platform APIs, including downtime, rate limiting, or policy changes, may affect the Service and are outside our control.

The automation features in ChannelStack depend on third-party API access. We cannot guarantee uninterrupted access to third-party APIs, and changes to those APIs or their policies may require updates to ChannelStack that could temporarily or permanently affect certain features.

9. Disclaimers and Limitation of Liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or free from viruses or other harmful components. We do not warrant that automated content will be accepted, published, or remain published on any third-party platform.

ChannelStack does not guarantee any specific results from use of the Service, including but not limited to subscriber growth, revenue, monetization qualification, or video performance. Content creator results vary based on many factors outside our control.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CHANNELSTACK BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOSS OF DATA, OR LOSS OF GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT YOU PAID TO CHANNELSTACK IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

You agree to indemnify, defend, and hold harmless ChannelStack and its operators, affiliates, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

11.1 Termination by You

You may terminate your ChannelStack account at any time by cancelling your subscription through Skool and emailing matt@channelstack.net to request account deletion. Upon termination, your access to the Service will cease at the end of your current billing period.

11.2 Termination by ChannelStack

We reserve the right to suspend or terminate your access to the Service immediately, with or without notice, if we reasonably believe that you have violated these Terms, engaged in fraudulent or harmful activity, or if continued provision of the Service to you creates legal risk for ChannelStack or harm to third parties.

11.3 Effect of Termination

Upon termination of your account for any reason:

Termination does not entitle you to a refund of any prepaid subscription fees unless required by applicable law.

12. Modifications to the Service and Terms

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with reasonable notice where practicable. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date and provide notice via our community platform or by email. Your continued use of the Service after such notice constitutes acceptance of the updated Terms. If you do not agree to updated Terms, your only recourse is to discontinue use of the Service and cancel your subscription.

13. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the United States and the State of Illinois, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms or the Service shall first be addressed through good-faith negotiation. If the dispute cannot be resolved through negotiation within 30 days, the parties agree to binding arbitration administered under the American Arbitration Association's Consumer Arbitration Rules. The arbitration shall be conducted in Illinois or remotely. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

You waive any right to participate in a class action lawsuit or class-wide arbitration. Each dispute must be brought individually.

Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent irreparable harm pending arbitration.

14. General Provisions

14.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and ChannelStack regarding the Service and supersede all prior agreements and understandings, whether written or oral, relating to the same subject matter.

14.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect.

14.3 Waiver

Our failure to enforce any provision of these Terms shall not be construed as a waiver of that provision or of any other provision.

14.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.

14.5 Force Majeure

ChannelStack will not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to third-party API outages, changes in platform policies, acts of God, or internet disruptions.

14.6 No Agency

Nothing in these Terms creates any agency, partnership, joint venture, or employment relationship between you and ChannelStack. You are an independent user of the Service.
